Agreement Overview

These Terms of Service ("Terms") govern the manufacturing partnership between U-My Manufacturing ("U-My", "we", "us") and our business clients ("Client", "you") for DIY crochet kit manufacturing services.

By engaging our manufacturing services, you agree to be bound by these Terms and our accompanying Manufacturing Agreement, Quality Standards, and Compliance Documentation.

1. Manufacturing Services

1.1 Service Scope

U-My provides OEM/ODM manufacturing services including:

  • DIY crochet kit design and development
  • Materials sourcing and quality control
  • Production management and manufacturing
  • Packaging and retail-ready preparation
  • Compliance testing and certification support
  • Supply chain management and logistics coordination

1.2 Quality Standards

All products manufactured comply with applicable international standards including CE, CPC, EN71, ASTM F963, and UKCA certifications. Our ISO 9001 quality management system ensures consistent production standards across all manufacturing facilities.

2. Client Responsibilities

2.1 Design & Specifications

  • Provide clear product specifications and requirements
  • Approve samples before mass production
  • Ensure design compliance with target market regulations

2.2 Commercial Terms

  • Maintain minimum order quantities as agreed
  • Provide accurate forecasts for production planning
  • Honor payment terms and delivery schedules

3. Order Process & Terms

Quotation & Sample

Sample development: 7-15 days. Quotations valid for 30 days unless otherwise specified.

Order Confirmation

Purchase orders require written confirmation and deposit payment (typically 30-50% of order value).

Production & Delivery

Standard lead times: 15-45 days depending on order complexity and quantity. Rush orders subject to additional fees.

4. Payment Terms

Payment Schedule

  • Sample fees: 100% upon order confirmation
  • Production deposit: 30-50% upon order confirmation
  • Balance payment: Before shipment
  • Long-term partners: Net 30 terms available

Accepted Methods

  • Wire transfer (T/T)
  • Letter of Credit (L/C)
  • Trade assurance platforms
  • PayPal (for samples and small orders)

5. Intellectual Property

5.1 Client IP Protection

U-My respects and protects client intellectual property. All designs, patterns, and proprietary information remain the exclusive property of the client. We maintain strict confidentiality and non-disclosure protocols.

5.2 Manufacturing Know-How

U-My retains ownership of manufacturing processes, production techniques, and operational methodologies developed independently. Clients receive manufacturing services but not proprietary production knowledge.

6. Quality Assurance & Compliance

Quality Control

Multi-stage inspection process with documented quality checkpoints throughout production.

Compliance Testing

Third-party testing for all required certifications with full documentation provided.

Data Security

Secure handling of all client information with confidentiality agreements in place.

7. Liability & Limitations

Limitation of Liability

U-My's liability is limited to the replacement or refund of defective products within the agreed warranty period. We are not liable for indirect, consequential, or punitive damages arising from product defects or delivery delays.

Maximum liability shall not exceed the total value of the specific order in question. Clients are responsible for product liability insurance and end-user safety compliance in their target markets.

8. Termination

8.1 Termination Rights

Either party may terminate the manufacturing relationship with 30 days written notice. Existing orders in production will be completed unless otherwise agreed. Immediate termination is permitted for material breach of contract terms.

8.2 Post-Termination

Upon termination, all outstanding payments become immediately due. Confidentiality obligations survive termination indefinitely. Client IP and proprietary information will be returned or destroyed as requested.

9. Governing Law & Disputes

These Terms are governed by the laws of the People's Republic of China. Disputes will first be addressed through good-faith negotiation. If resolution cannot be achieved, disputes will be settled through binding arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) rules.

For international clients, alternative dispute resolution mechanisms may be agreed upon in the specific Manufacturing Agreement.

Terms Updates

U-My reserves the right to modify these Terms with 30 days notice to existing clients. Continued use of services constitutes acceptance of updated Terms.
