Agreement Overview

These Terms of Service ("Terms") describe the general basis on which U-My Manufacturing ("U-My", "we", "us") provides website access, business communication, and manufacturing-related services to visitors, buyers, and business clients ("Client", "you").

These Terms are intended as a general commercial and website policy. Specific order terms, quotations, product specifications, lead times, payment arrangements, and compliance scope may be defined separately in purchase orders, quotations, proforma invoices, manufacturing agreements, or other written confirmations.

By using this website, submitting inquiries, or engaging our services, you acknowledge these Terms together with our applicable Privacy Policy and any relevant commercial documents exchanged between both parties.

1. Manufacturing Services

1.1 Service Scope

U-My may provide OEM / ODM manufacturing support including, where applicable:

  • DIY crochet kit design and development support
  • Materials sourcing and supplier coordination
  • Production management and manufacturing execution
  • Packaging, labeling, and retail-ready preparation
  • Compliance testing coordination and documentation support
  • Supply chain coordination and shipment preparation

1.2 Service Availability

Service scope may vary depending on product type, order volume, destination market, compliance requirements, factory capacity, and customer program requirements. Not all services are included automatically in every order.

1.3 Quality & Compliance Support

We operate documented quality workflows and may support compliance preparation for relevant markets, including CE, CPC, EN71, ASTM F963, and UKCA where applicable to the product scope. Final compliance obligations depend on product configuration, age grading, destination market, and customer requirements.

2. Client Responsibilities

2.1 Product Information

  • Provide clear product specifications and requirements
  • Review and approve samples where required
  • Confirm intended market, labeling, and packaging expectations
  • Provide accurate reference files, artwork, and technical details

2.2 Commercial Cooperation

  • Confirm quotations and orders in writing
  • Provide realistic forecasts when possible
  • Honor payment arrangements and agreed milestones
  • Review and respond to approvals in a timely manner

3. Order Process & Commercial Terms

Quotation & Sample Stage

Sampling time and quotation validity depend on the project scope. Any timeline or quote validity period may be stated separately in a quotation, email, or written confirmation.

Order Confirmation

Orders are typically confirmed through written approval, purchase order, proforma invoice, or similar commercial document. Deposits may be required depending on the project and customer relationship.

Production & Delivery

Lead times vary by order complexity, raw material availability, seasonality, compliance scope, and production scheduling. Any production or shipment dates provided are generally estimated unless specifically agreed in writing.

4. Payment Terms

Typical Payment Structure

  • Sample fees may be payable in advance
  • Production deposits may apply before manufacturing starts
  • Balance is typically settled before shipment unless otherwise agreed
  • Alternative terms may be available for approved long-term cooperation

Accepted Methods

  • Wire transfer (T/T)
  • Letter of Credit (L/C), where applicable
  • Trade assurance platforms, where applicable
  • PayPal or similar tools for samples / small transactions, where approved

5. Intellectual Property

5.1 Client IP Protection

U-My respects client intellectual property. Customer-owned designs, branding, artwork, patterns, and proprietary information remain subject to the rights of the client or respective rights holder. Confidential materials are handled according to the cooperation scope and any applicable NDA or written agreement.

5.2 Manufacturing Know-How

U-My retains its independent manufacturing know-how, internal workflows, operational methods, and process improvements unless otherwise agreed in writing. Commercial cooperation does not automatically transfer manufacturing methodologies or internal production systems.

6. Quality Assurance & Compliance

Quality Control

Multi-stage inspection workflows and documented checkpoints may be used throughout production.

Compliance Support

Third-party testing coordination and related documentation may be arranged according to project requirements.

Confidentiality

Business information, files, and communications are handled with reasonable confidentiality controls.

7. Liability & Limitations

General Limitation

U-My's responsibility for any specific order or service issue is generally limited to the commercial scope agreed between both parties, subject to the terms stated in the relevant quotation, purchase order, invoice, manufacturing agreement, or written confirmation.

To the extent permitted by applicable law, U-My is generally not responsible for indirect, consequential, incidental, or special losses arising from delays, third-party actions, market restrictions, customs issues, misuse of products, or circumstances outside reasonable control. Clients remain responsible for their own downstream market obligations, distribution decisions, and end-user compliance in target markets.

8. Termination

8.1 Termination Rights

Either party may stop future cooperation according to the applicable commercial arrangement or written agreement. Existing orders already confirmed, sampled, purchased, or in production may still be subject to the commercial documents already agreed.

8.2 Post-Termination

After termination or non-renewal of cooperation, confidentiality obligations, payment obligations, and any project-specific IP or document handling requirements continue according to the relevant agreements and applicable law.

9. Governing Law & Disputes

These Terms are generally governed by the applicable laws and dispute resolution arrangements stated in the relevant commercial documentation between both parties. Where no specific written agreement applies, parties are encouraged to resolve disputes first through good-faith communication and commercial negotiation.

For international projects, dispute resolution forum, governing law, and arbitration terms may be defined separately in the quotation, contract, manufacturing agreement, or other written transaction documents.
